Terms of Use

By accessing or using the Injizaa platform ("Platform"), operated by Miriyari Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Platform.

We reserve the right to update these Terms at any time. Continued use of the Platform after any changes constitutes your acceptance of the new Terms. We will notify registered users of material changes via email.

Injizaa is an investment marketplace that connects verified African startup founders with qualified investors. The Platform provides tools for profile creation, matching, communications, document sharing, and deal facilitation.

We do not provide financial advice, brokerage services, or investment recommendations. All investment decisions are made solely by the parties involved. Injizaa facilitates connections but is not a party to any investment transaction.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into binding agreements.

The Platform is intended for use by individuals and entities engaged in legitimate business activities. Use of the Platform for any unlawful purpose is strictly prohibited.

To access certain features, you must register and create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

All accounts are subject to our verification process. We reserve the right to approve or reject any application at our discretion. Accounts found to contain false or misleading information will be suspended or terminated without notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Provide false, misleading, or fraudulent information on your profile or in any communications
• Engage in any form of market manipulation, insider trading, or other illegal financial activities
• Harass, abuse, threaten, or intimidate other users
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated tools, bots, or scrapers to access or collect data from the Platform
• Post, transmit, or distribute any content that infringes third-party intellectual property rights
• Use the Platform to solicit or advertise services outside of its intended purpose
• Violate any applicable local, national, or international laws or regulations

All content on the Platform, including but not limited to text, graphics, logos, software, and data, is the property of Miriyari Ltd or its licensors and is protected by applicable intellectual property laws.

By submitting content to the Platform (including pitch decks, bios, and media), you grant us a non-exclusive, royalty-free licence to use, display, and store such content solely for the purpose of operating and improving the Platform.

The Platform may expose you to confidential business information from other users, including business plans, financial data, and proprietary technology. You agree to treat such information as confidential and not to disclose it to third parties without the express written consent of the disclosing party.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We make no representations regarding the accuracy, completeness, or reliability of any content on the Platform.

To the fullest extent permitted by applicable law, Miriyari Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us, if any, in the twelve months preceding the claim.

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, provision of false information, or conduct harmful to other users or the Platform.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Platform shall be first attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Kigali, Rwanda.
